Version 1.0 - DRAFT, to be reviewed by a South African attorney before commercial release
Please read this agreement carefully. By installing or using Rettup POS you agree to it. If you do not agree, do not install or use the software.
1. Who we are "Rettup" means Rettup Industries, Pretoria, South Africa (support@rettup.co.za). "You" means the business or person who installs or uses the software. "Software" means Rettup POS, including the server, terminal, Android app, configurator, updates, documentation and the licence service at license.rettup.co.za.
2. Licence, not sale Rettup grants you a non-exclusive, non-transferable, revocable licence to use the Software for your own business, on the number of terminals your licence covers. The Software is licensed, not sold. Rettup keeps all ownership of and copyright in the Software, its designs, logos and documentation.
3. What you may not do Without Rettup's written permission you may not copy (other than backups), resell, rent out, lend, sub-license or share the Software or your licence ID or key; reverse-engineer, decompile or modify it, except where the law allows this despite this clause; remove copyright or licence notices; or use it to run a business other than your own.
4. Evaluation (trial) use An evaluation copy works for a limited period (normally 30 days) and may be limited in features. It is provided to test whether the Software suits you. After the period ends you must buy a licence or stop using the Software. Evaluation copies are supplied "as is" and Rettup may change or end the evaluation at any time.
5. Paid licence A paid licence is for the period and terminals stated on your invoice or licence record. Fees are payable as invoiced. If fees are not paid, Rettup may suspend or end the licence after reasonable written notice.
6. Updates Rettup may release updates. The Software can check for and download updates from license.rettup.co.za. Updates are installed only when you choose to install them. Rettup does not promise that any particular feature will be added or kept.
7. Your data and backups All sales, customer, staff and stock data you enter stays yours and stays on your own computers. Rettup does not host it and cannot recover it. You are responsible for keeping backups, including a copy away from the computer that runs the Software, and for checking that those backups work. You are also responsible for tax, receipt and record-keeping rules that apply to your business, and for checking that the figures and receipts produced by the Software are right for you.
8. Information sent to Rettup The Software contacts license.rettup.co.za to check your licence and for updates. It then sends your business name, licence ID, an anonymous machine identifier, the software version and licence/trial status. If you press "Send to Rettup" in the support screen, or if you leave "Let Rettup request technical details" switched on and Rettup asks for them, it sends technical details (version, error log, counts of users and items, backup status). It does not send sales or customer details. Rettup uses this information only to provide the licence, support and updates, and handles it in line with the Protection of Personal Information Act (POPIA). You may switch off remote requests in the support screen. Where your own staff or customers' personal information is stored in the Software, you are the responsible party for that information.
9. Warranty The Software is provided "as is". To the fullest extent the law allows, Rettup gives no warranty that the Software will be error-free, uninterrupted or fit for a particular purpose, and excludes all warranties not set out in this agreement. Nothing in this agreement limits any right you have under the Consumer Protection Act or other law that cannot lawfully be limited.
10. Limit of liability To the fullest extent the law allows, Rettup is not liable for lost profit, lost sales, lost data, business interruption or any indirect or consequential loss arising from the use of, or inability to use, the Software. Rettup's total liability for any claim is limited to the licence fees you paid for the twelve months before the claim arose (or, for an evaluation copy, nothing). This does not limit liability that the law does not allow to be limited.
11. Ending the agreement You may stop at any time by uninstalling the Software. Rettup may end this licence immediately if you break clause 3 or fail to pay. When the licence ends you must stop using the Software and delete copies, but you keep your own data.
12. Third-party components The Software includes open-source components such as Electron, Node.js, Express, better-sqlite3 and nodemailer. They belong to their authors and are used under their own licences.
13. General This agreement is governed by the laws of the Republic of South Africa. The courts of Gauteng, Pretoria, may hear any dispute (this does not stop Rettup from approaching any other competent court for urgent relief). This is the whole agreement about the Software; changes must be in writing. If part of it is found unenforceable, the rest stays in force.
